Limitation of Liability

To the maximum extent permitted by applicable law, Shimmer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, whether in an action in contract, tort, or otherwise, arising from or related to your use of our services or these Terms and Conditions.

In no event shall our total liability to you for all claims arising from or related to our services exceed the amount you paid to us, if any, during the twelve months preceding the claim. Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you.

Exclusion of Consequential Damages

Under no circumstances shall Shimmer be liable for any consequential, indirect, exemplary, incidental, or special damages resulting from your use or inability to use our services, including but not limited to loss of business opportunities, loss of anticipated savings, loss of goodwill, or any other commercial or economic loss.

Force Majeure

Shimmer shall not be liable for any failure or delay in performance of our obligations under these Terms and Conditions to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or failures of third-party service providers.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Singapore, without giving effect to any principles of conflicts of law. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these terms.

Jurisdiction

Any disputes, claims, or controversies arising out of or relating to these Terms and Conditions or your use of our services shall be subject to the exclusive jurisdiction of the courts of Singapore. By using our services, you consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

Many disputes can be resolved quickly and amicably through direct communication. If such modification is not possible, the provision shall be severed from these terms, and the remaining provisions shall remain in full force and effect.
